1. Acceptance of Terms

By accessing or using ISPMan ("the Service"), you aknowledge that you have read and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and ISPMan, and we reserve the right to modify them at any time.

We collect certain identifying personal data when you sign up to our Service such as your name, email address, PayPal address (if different from email address), and telephone number. The personal data we collect from you is disclosed only in accordance with our Terms of Service and/or this Privacy Policy.Conclude collects Slack account and access information from Users for the purposes of connecting to the Slack API and to authenticate access to information on the Conclude website. Whenever you visit our Site, we may collect non-identifying information from you, such as referring URL, browser, operating system, cookie information, and Internet Service Provider. Without a subpoena, voluntary compliance on the part of your Internet Service Provider, or additional records from a third party, this information alone cannot usually be used to identify you.The term "personal data" does not include any anonymized and aggregated data made on the basis of personal data, which are wholly owned by Conclude.

2. Service Description

ISPMan is a comprehensive platform designed to streamline billing and network operations for Internet Service Providers. The Service is provided for free during this pilot project, and is provided "as is" with no warranty. Conclude will provide User support for the Service, however; Conclude is not committed to any level of service or availability of the Service. A further description of the Service and our user support is available at the Site. The Service includes but is not limited to:

  • Billing and network operations management
  • Wireless network management and monitoring
  • Customer account and subscription management
  • Hotspot configurations and management
  • Mobile app for on-the-go management
  • Security features including SSL and token-based authentication
  • Payment processing and integration with M-Pesa
  • Network analytics and reporting

Company Liability:

If you enter into this agreement on behalf of a company, you hereby agree that the company is responsible under this Agreement for all actions and omissions conducted by its designated users of the Service.

3. Account Management

3.1 Account Creation

To use the Service, you must:

  • Enhance or improve User experience, our Site, or our Service.
  • Send emails and updates about ISPMan, including news and requests for agreement to amended legal documents such as this Terms of Service or Privacy Policy.
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized access
3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify ISPMan of any unauthorized use of your account.

4. Service Usage and Restrictions

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Interfere with or disrupt the Service or servers
  • Attempt to gain unauthorized access to any portion of the Service
  • Use the Service to violate any applicable laws or regulations
  • Share your account credentials with unauthorized users
  • Use the Service in any way that could damage, disable, overburden, or impair the Service

5. Payment and Billing

Payment terms and conditions:

  • All fees are non-refundable unless otherwise specified
  • We may change our fees with 30 days notice
  • You are responsible for all applicable taxes
  • Payment processing is handled through secure channels
  • M-Pesa integration is subject to Safaricom's terms
  • Late payments may result in service suspension or termination

6. Data Protection and Privacy

We take data protection seriously:

  • All data is encrypted in transit and at rest
  • Regular security audits are performed
  • Access to data is strictly controlled
  • Backups are performed regularly
  • Compliance with data protection regulations

7. Service Availability and Support

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. Scheduled maintenance will be announced in advance. Emergency maintenance may occur without notice. Support is provided according to your service plan.

8. Intellectual Property

The Service and all its content, features, and functionality are owned by ISPMan and are protected by intellectual property laws. You may not copy, modify, or create derivative works of the Service without our permission.

9. Limitation of Liability

ISPMan shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service. This includes but is not limited to loss of profits, data, or business interruption. Our total liability to you for any claims shall not exceed the amount you paid for the Service in the last 12 months.

10. Changes to Terms

We may modify these Terms at any time. We will notify you of significant changes through the Service or by email. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

11. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by following the instructions in the Service. Upon termination, your right to use the Service will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Kenya.

13. Intellectual Property Rights

Your information may be transferred to — and maintained on — computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. If you choose to provide information to us, Conclude transfers Personal Information to Google Cloud Platform and processes it there. Your consent to this Privacy Policy followed by your submission of such information represents your agreement to that transfer.
